NANO Nuclear Energy (NASDAQ: NNE) has taken another concrete step toward vertical integration across the U.S. nuclear fuel cycle. On October 1, 2026, the company and its wholly owned subsidiary HALEU Energy Fuel Inc. signed a definitive asset purchase agreement with Radnostix, Inc. (formerly International Isotopes Inc.) and its subsidiary International Isotopes Fluorine Products, Inc. The deal covers strategic nuclear fuel processing assets tied to a previously planned depleted uranium hexafluoride (DUF6) deconversion and fluorine extraction facility in Lea County, New Mexico, including an existing U.S. Nuclear Regulatory Commission (NRC) license and related intellectual property, engineering analyses, regulatory materials, patented technology, and historical project records.
Jay Yu, Founder and Chairman, highlighted the move in a LinkedIn announcement the same day, noting that upon closing, NANO Nuclear would own one of only ten NRC-licensed fuel cycle facilities in the United States. The post framed the transaction as another pillar in the company’s effort to support a more complete and resilient domestic nuclear industry.
The Transaction
The assets center on an NRC license issued under 10 CFR Part 40 (Domestic Licensing of Source Material). The licensing basis was required to meet applicable requirements of Subpart H of 10 CFR Part 70. The facility contemplated under the license was never constructed. NANO Nuclear has stated that acquiring an existing licensed platform could offer a more efficient regulatory pathway for potential DUF6 deconversion or, through future license amendments subject to NRC review, additional fuel-cycle processes, compared with licensing a comparable facility from a greenfield site.
Consideration at closing is $9.5 million in cash and $4.0 million in NANO common stock. Closing remains subject to NRC consent for the license transfer, other required approvals (including from New Mexico officials), satisfactory site arrangements, and customary conditions. The parties currently expect closing in roughly 90 to 120 days.
James Walker, Chief Executive Officer, described the proposed acquisition as securing a strategically valuable position in the U.S. nuclear fuel cycle that would be extremely difficult to recreate from the ground up, while preserving flexibility on the ultimate development path. Yu added that the transaction establishes a platform for future fuel-cycle opportunities pursued independently or with strategic collaborators, consistent with the company’s focus on long-term shareholder value.
If completed, the deal extends NANO Nuclear’s stated strategy of building capabilities—internally or through partnerships—across conversion, enrichment, deconversion, transportation, and reactor deployment.
Financial Position and Recent Execution
The announcement follows the company’s third-quarter fiscal 2026 results, reported August 12, 2026, for the period ended June 30, 2026. NANO Nuclear ended the quarter with approximately $580 million in cash, cash equivalents, and short-term investments, providing substantial liquidity for technology advancement and acquisitions. Net cash used in operating activities for the nine months ended June 30, 2026, was $18.7 million.
During the quarter, the company completed the acquisition of Secured Transportation Systems (STS), a nuclear logistics and transportation business, adding revenue-generating operations and in-house capability for moving radioactive materials. Management also noted progress on the KRONOS MMR Energy System: the NRC accepted the Construction Permit Application for a deployment at the University of Illinois Urbana-Champaign for formal review, with environmental assessment expected in the first quarter of 2027 and safety evaluation in the third quarter of 2027. Headcount had grown to 85 employees and contractors. Both Yu and Walker emphasized continued evaluation of synergistic fuel-cycle acquisitions and partnerships to de-risk future deployments.
Earlier filings and updates have described the goal of launching commercial fuel-supply-chain activities, with vertical integration across key stages of the cycle identified as a distinguishing element of the strategy. HALEU Energy Fuel is positioned to develop domestic high-assay low-enriched uranium (HALEU) fabrication capabilities for NANO Nuclear’s microreactors and the broader advanced-reactor market. Advanced Fuel Transportation, strengthened by the STS acquisition, holds exclusive licensing rights to a patented high-capacity HALEU transportation basket developed with U.S. national laboratories.
Laser Enrichment Collaboration with LIS Technologies
A central piece of the fuel-cycle strategy is the partnership with LIS Technologies Inc. (LIST), announced in late 2024. NANO Nuclear invested $2 million in LIST’s seed financing and entered a strategic collaboration under which the parties work on advancing LIST’s U.S.-origin, patented laser uranium enrichment technology toward licensing. LIST is intended to supply enriched uranium hexafluoride (UF6); NANO Nuclear is to develop supportive deconversion and fuel-fabrication capabilities so that enriched material can move into an integrated manufacturing process for NANO Nuclear reactors and third-party sales, with profit-sharing arrangements contemplated.
LIST received a radioactive material license from the State of Tennessee for its demonstration facility at the historic K-25 site in Oak Ridge, enabling procurement of UF6 feedstock and continued development work. LIST was also selected as a contractor (with NANO Nuclear as subcontractor) under the Department of Energy’s low-enriched uranium acquisition program.

The U.S. nuclear fuel cycle has long depended on foreign enrichment capacity, including historical imports from Russia, while domestic conversion, deconversion, and HALEU fabrication infrastructure remain limited. Advanced reactors and microreactors, including designs intended for data centers, remote sites, and industrial loads, generally require reliable access to appropriately enriched and fabricated fuel, plus specialized transportation.
NANO Nuclear’s sequence of moves—investment and offtake-style collaboration with a U.S.-origin laser enrichment developer, acquisition of transportation capabilities, formation of a HALEU-focused subsidiary, progress on the KRONOS MMR licensing path, and now a definitive agreement for NRC-licensed processing assets—targets multiple links in that chain. The company has also signed memoranda and commercial frameworks with other parties covering HALEU supply discussions, fuel-cycle services, and potential power projects.
None of these steps guarantees commercial fuel production or reactor deployment on a fixed timetable. The Radnostix transaction still requires regulatory consents and has not closed; LIST’s enrichment technology remains in the development and licensing stage; and reactor construction permits are under review. What the announcements collectively illustrate is a deliberate effort to assemble domestic optionality across enrichment support, deconversion, fabrication, logistics, and reactor technology at a time when policy and market interest in expanding U.S. nuclear capacity has increased.
